MEMBERSHIP AGREEMENT

This Membership Agreement (this "Agreement") is between CPJP Wine Group, LLC, doing business as Drink With Me ("Drink With Me"), and the undersigned member accepting this Agreement ("Member"). This Agreement governs Member's subscription to Drink With Me. The Terms of Use and Privacy Policy are incorporated by reference. If this Agreement conflicts with the Terms of Use on a membership-specific matter, this Agreement controls.

1. MEMBERSHIP

Drink With Me is a private collective built around wine, content, concierge, and community. During the membership term, and subject to this Agreement, Drink With Me will make available to Member the benefits it offers to members from time to time, which may include access to wine opportunities, concierge support, members-only content, and hosted events. Membership itself does not include wine. Wine purchases, event access, and other offerings may require separate purchase and may be subject to separate terms presented at the time.

Membership is personal to Member and may not be assigned, transferred, shared, or used by any other person.

2. ELIGIBILITY

Member must be at least twenty-one (21) years of age and legally capable of entering into this Agreement. By accepting this Agreement, Member represents and warrants that those requirements are satisfied.

3. TERM; RENEWAL

Membership begins when Drink With Me accepts enrollment and continues for one (1) year unless a different term is stated at enrollment. Unless canceled before renewal, membership renews automatically for successive one-year terms.

4. MEMBERSHIP FEE; BILLING

The membership fee is stated at enrollment, plus applicable taxes. The initial fee must be paid at the time of enrollment and then 30 days in advance of each renewal term. Member authorizes Drink With Me to charge the payment method on file for the membership fee, applicable taxes, and any other disclosed charges. If payment is declined, reversed, or not received when due, Drink With Me may suspend membership, deny renewal, or terminate membership until the account is brought current.

5. CANCELLATION

Member may cancel at any time before the next renewal date. Cancellation stops future renewal only and does not entitle Member to a refund for the current term except as required by law or expressly stated by Drink With Me at enrollment or in the Terms of Use.

6. MEMBER BENEFITS

Member benefits may change from time to time. Drink With Me may add, remove, suspend, or modify any benefit, offering, or feature in its discretion. Concierge requests, wine opportunities, exchange access, and events are subject to availability and any transaction-specific terms. Drink With Me does not guarantee that any particular request, offering, or event will be available.

7. MEMBER EXCHANGE

If Drink With Me makes the Member Exchange available to Member, participation in it is governed by a separate Member Exchange Addendum and any transaction-specific terms. Access to the Member Exchange is optional and may be suspended or terminated separately from membership.

8. SUSPENSION; TERMINATION

Drink With Me may suspend or terminate membership if Member breaches this Agreement, the Terms of Use, the Member Exchange Addendum, or any transaction-specific terms, fails to pay amounts due, or engages in conduct that creates legal, operational, or reputational risk for Drink With Me. Upon termination, access to membership benefits ends immediately unless Drink With Me expressly agrees otherwise in writing. Termination does not affect obligations accrued before termination.

9. INCORPORATED TERMS

The disclaimer, limitation of liability, indemnity, dispute resolution, arbitration, class action waiver, governing law, and other general provisions in the Terms of Use are incorporated into this Agreement as if fully set forth here.

10. ENTIRE AGREEMENT

This Agreement, together with the Terms of Use, the Privacy Policy, the Member Exchange Addendum if applicable, and any transaction-specific terms accepted by Member, states the entire agreement between the parties with respect to membership.
